Corporate governance

What is corporate governance?
Corporate governance is the system by which companies are directed and managed. It influences how the objectives of the company are set and achieved, how risk is monitored and assessed, and how performance is optimised.

Good corporate governance structures encourage companies to create value and provide accountability and control systems commensurate with the risks involved.

There is no single model of good corporate governance. What constitutes good corporate governance will evolve with the changing circumstances of a company and must be tailored to meet those circumstances.*

AWM's Board recognises and strongly supports the Principles of Corporate Governance and mantaining the high standards in the company.  This is, in part, based on the highly regulated industry in which the AWM Group operates.  The company's Corporate Governance policies and practices are reviewed annually by the board to ensure they are meeting the needs of the company.

Accountability and management of the AWM Group.
The corporate governance framework for the AWM Group is underpinned by the ASX Principles of Good Corporate Governance and Best Practice Reccomendations.

AWM is committed to delivering strong returns and shareholder value while also promoting shareholder and general market confidence in the AWM Group.

Maintaining AWM’s reputation for integrity is crucial to its success as a wealth management business.  The code of conduct adopted by AWM’s board is an important tool for achieving these aims.

Continuous Disclosure and Shareholder Communication
The Company Secretary has been nominated as the person responsible for communication with the ASX.  The role includes responsibility of ensuring compliance with the continuous disclosure requirements in the ASX Listing Rules and the overseeing and co-ordinating information disclosure to the ASX, analysts, brokers, shareholders and the public.  All information disclosed to the ASX is posted on the company’s website as soon as it is disclosed to the ASX.  When analysts are briefed on aspects of the Group’s operations the presentation is released to the market.  Procedures have been developed for reviewing whether any price sensitive information has been inadvertently disclosed, and if so, this information is immediately released to the market.
